Can clients receive their Irish RBO (Register of Beneficial Ownership) document, and how should third parties obtain RBO information?

No. By Irish law no RBO document is issued to the client. A third party needing RBO data must have its own authorised access to the Irish RBO register and should not rely on the client to supply it; without access it is not entitled to the information. If only ultimate beneficial owner (UBO) details are needed, the client can instead provide a self-prepared statement or a cap table signed by a director.

When signing company/compliance documents, should the client also fill in the date?

No. Clients should sign documents without filling in the date. Leaving the date blank avoids having to re-sign if an error is found and the documents must be corrected.

What happens if an Irish company's annual returns are overdue, and can they be filed without director identity numbers?

Overdue annual returns put an Irish company out of good standing and incur escalating CRO late-filing penalties. If the annual return is late for two consecutive periods, audited accounts become mandatory for the affected year-ends. The returns also cannot be filed without each director's PPSN, RBO number, or IPN; if this identity information is missing the CRO simply rejects the filing.

Do directors and shareholders of an Irish company need a personal identity number (PPSN / IPN / RBO)?

Yes. Since 11 June 2023, all directors and shareholders of an Irish company must hold a personal identity number for CRO filings: an Irish PPSN, or an Identified Person Number (IPN) / RBO number. Anyone without an existing PPSN or RBO number must apply for an IPN; the application form must be sworn before a notary in the officer's home country, and the resulting number must be used for all future CRO filings. To incorporate, each prospective shareholder and director must provide one of these identifiers, which is also used for beneficial-ownership filing. An IPN application is not required where all directors and shareholders are already Irish.
