Brazil company registration means filing the articles (contrato social or estatuto social) with the Junta Comercial, the state commercial registry (Board of Trade), in the state of the company's seat. The process runs through REDESIM, Brazil's integrated business-registration network, and normally begins with a viability check of the name and address. The company exists once the Junta registers it and assigns its NIRE. The Secretaria Especial da Receita Federal do Brasil (RFB), the federal revenue authority, then issues the Cadastro Nacional da Pessoa Jurídica (CNPJ) once the tax details are completed online. Before filing come the legal form, the owners' documents and local requirements; after it, tax registrations and regime, licensing, banking, the foreign-investment declaration and yearly duties.

The structure comes down to two legal forms. The sociedade limitada (Ltda), a limited liability company with quotas, follows the Civil Code (Código Civil); the sociedade anônima (S.A.), a corporation with shares, follows the Corporations Law (Lei das S.A.). An Ltda can have a single member, Brazilian or foreign, individual or company. Members answer only for their quotas, though jointly until all quotas are paid in. An S.A. is run by executive officers (diretoria); only some, such as publicly held ones, need a board of directors. Outside restricted sectors like journalism and broadcasting, foreign investors may own the whole business. A foreign company may instead open a branch with federal authorization and a permanent representative in Brazil.

A file from abroad starts with identification, because the founding documents name each owner by a Brazilian tax number. A foreign individual gets a Cadastro de Pessoas Físicas (CPF) online or at a Brazilian consulate. A foreign company gets its CNPJ through the Banco Central's non-resident register (CDNR) and names a representative (procurador) in Brazil. Owners abroad also give a local representative power of attorney. Among the local requirements for opening a company, the seat (sede) comes first and must be in Brazil. At the viability check through REDESIM, the municipality tests whether the declared business activity is allowed at that location, since zoning is municipal. No lease or title deed can be demanded for registration, the municipality decides on shared or virtual offices, and a business that runs only online still needs a Brazilian address. Registry fees differ because each state prices its Junta's acts under its own law. Administrators may live abroad once they appoint a representative resident in Brazil to receive service of process, although the registry's S.A. manual still expects a resident administrator when every shareholder lives abroad.

With the CNPJ the company is a federal taxpayer; its activity decides any further tax registration. Trading goods brings ICMS and a state registration (inscrição estadual); services bring ISS, and the municipal registration (inscrição municipal) follows each municipality's rules. The Simples Nacional small business regime excludes an S.A., a company with a corporate owner or a partner abroad, and a branch. A foreign-owned company therefore picks its income tax regime, lucro real (actual profit) or lucro presumido (presumed profit), and the first payment fixes it for the calendar year. The consumption-tax reform makes 2026 a test year for the CBS and IBS; the CBS replaces PIS and Cofins in 2027, and ICMS and ISS end in 2033.

What happens once the company exists

A low-risk activity needs no operating license under the Economic Freedom Law and can start with the CNPJ. Medium-risk licenses issue automatically on the founder's signed declaration, and high-risk ones follow inspections and regulatory approval. The corporate bank account is a separate approval with the bank's own checks. The company declares foreign capital to the central bank, Banco Central do Brasil (BCB), in the SCE-IED system when a transfer of US$100,000 or more occurs. Yearly compliance means approving the accounts within four months of year-end and filing the bookkeeping (ECD) and the annual corporate income tax return, the Escrituração Contábil Fiscal (ECF).
